Our client seeks a Board Secretary and Policy Manager to join their diverse and highly skilled team. Role Profile: In this role, you'll be ensuring smooth operations at the executive level, managing corporate risk, and keeping everything legally compliant. You will need effective people management and engagement skills. With strong communication skills and a calm, diplomatic approach, you'll support high-level Board Members and Committees, driving key initiatives like anti-fraud measures, and ensuring the board stays on track. Key Responsibilities: To provide Company Secretarial services to the Board, Audit and Risk Committee, subsidiary companies and, as required, internal managerial committees. To assist the Chair of the Board, Audit and Risk Committee, subsidiary companies and internal management committees in the efficient and effective running of meetings. To ensure compliance with policies and procedures, and to understand applicable primary legislation to ensure adherence with legal and statutory requirements. To support the Board in discharging director and body corporate collective duties. To liaise with Legal and Insurance representatives in the progress of major claims and any settlements. To advise, monitor and co-ordinate the management of corporate risk. To oversee and coordinate the development, testing and review of business continuity. To promote anti-fraud/anti-bribery activities and openness in reporting of wrong-doings as the. Designated Officer for anti-fraud/anti-bribery activities and whistleblowing (confidential reporting)To liaise with Freedom of Information, General Data Protection Regulation and Cyber Security representatives. To act as nominated officer for strategic responsibility for compliance with the Freedom of Information Act. To undertake any other duties as requested by the Chief Executive Officer Key Skills & Experience Essential. Degree qualified or similar experience. Able to perform effectively at Board and Executive level Detailed understanding of strategic risk management. Demonstrate the ability to work calmly and effectively under pressure. Politically aware, tactful and diplomatic. Demonstrates self-motivation and personal impact. Exceptional communication and interpersonal skills - verbal, written, presenting, listening and facilitation. Desirable, Supporting qualifications in one of the Policy areas e.g. Financial, H&S, Environmental, People, Assets, Quality Company Secretarial or Governance / compliance qualified. Significant experience of leadership in a politically sensitive organisation. Knowledge and experience of implementing corporate performance management systems
