Assistant Company Secretary

Ensure statutory and regulatory requirements are met by the Group’s legal entities (IOM/UK subsidiaries and overseas subsidiary entities):
Maintenance of statutory registers and minute books.
Filing requirements e.g. annual returns, change of details, allotment returns etc.
Assist in production and filing of annual statutory accounts.
Assist with the maintenance of the Group structure chart and list of directors and officers.
Assist with management of overseas company secretarial advisers (incl. Channel Islands, Isle of Man, Canada, EU, US and Far East).
Assist with management of aspects to any Group’s share incentive schemes, including LTIP covering: Scheme records are kept up to date and amended as necessary.
Management of the annual grant & maturity programmes for all executive, shadow and savings based options and LTIP awards.
Preparation of HMRC share scheme tax returns.
Subsidiary governance – Supporting Board meetings for all subsidiaries covering agenda and paper preparation and collation, meeting attendance and minutes in support of business activities.
Assist with the project management and Company Secretarial input to the statutory annual report and accounts preparation and associated filings.
Assist with aspects of the subsidiary AGMs.
Support on Board and corporate governance matters: Assist in production and distribution of board and committee packs.
Copying, preparing and reviewing of all papers.
Keeping on top of legislative and regulatory developments.
Ad hoc assistance with project work: Acquisitions and disposals related work.
Capital raising, consolidation or buy back exercises.
Provide administrative support on insurance and any risk management activities.

Experience Required: Recently or part-qualified Company Secretary (ACG), preferably with good experience of working within an overseas group company environment.
Experience of working in a fast-paced, complex business.
Experience of using Diligent Entities (Blueprint) preferable and Docusign.
